Staff comment: We note that your Charter Amendment Proposal contains Proposals 3A through 3G, and Proposal 3H that is "conditioned upon the receipt of the requisite vote on Proposals 3A through 3G," to approve the proposed Amended Certificate of Incorporation, which includes Securities and Exchange Commission the approval of all other changes in the Amended Certificate of Incorporation in connection with replacing the Certificate of Incorporation with the proposed Amended Certificate of Incorporation. However, we note that your form of proxy filed includes Proposal 3 as one proposal for shareholders to vote upon. Company response: The Company respectfully acknowledges the Staff’s comment and has revised its disclosure throughout the Proxy Statement and on the proxy card to make clear the separation of Proposal 3 into individual proposals 3A through 3H.
