Verbatim excerpt (198 words), formatting simplified. View full filing on EDGAR →Atlassian adopted a Compensation Recovery Policy (the “Clawback Policy”) that meets the requirements of SEC and Nasdaq rules. The Clawback Policy applies to our Section 16 officers and requires the return of any erroneously awarded “Incentive Compensation” (as defined in the Clawback Policy) that was received during the three completed fiscal years preceding the date that the Board or a committee of the Board concludes, or reasonably should have concluded, that Atlassian is required to restate its financial statements, or if earlier, the date on which a court, regulator or other legally authorized body directs Atlassian to make such a restatement. Atlassian will seek to recover any additional amount of compensation actually paid over the amount that would have been paid following recalculation based on the restated financial statements.
The foregoing summary of our Clawback Policy does not purport to be complete and is qualified by reference to our Clawback Policy, which can be found as an exhibit to our Annual Report on Form 10-K for the fiscal year ended June 30, 2026.
